1. Introduction
These Terms of Service govern your use of PaidInstantly, a service provided by PaidInstantly Ltd ('we', 'us'), a company registered in England and Wales (Company No: 16935720). By connecting your Xero account, you agree to these terms.
2. The Service
"PaidInstantly provides an automation bridge between Xero and WhatsApp. We are not affiliated with Xero or Meta (WhatsApp). We act as a conduit to deliver your invoice data to your customers."
3. Beta Usage & Disclaimer
"The Service is currently in BETA. It is provided on an 'AS IS' and 'AS AVAILABLE' basis. We do not warrant that the service will be error-free or uninterrupted. You use the service at your own risk."
4. User Responsibilities (Anti-Spam)
"You agree to only send invoices to customers who have a legitimate business relationship with you. You strictly agree NOT to use the service for spam, harassment, or marketing. We reserve the right to terminate your account immediately if we detect abuse."
5. Limitation of Liability (Crucial)
"To the maximum extent permitted by law, PaidInstantly Ltd shall not be liable for any indirect, incidental, or consequential damages, including loss of profits, data, or business opportunities, arising from your use of the service (e.g., if a WhatsApp message fails to deliver)."
6. Data Processing
"For the purposes of GDPR, you are the Data Controller and we are the Data Processor. We process data solely to provide the service. By using the app, you authorize us to transmit data to Twilio (our messaging provider)."
7. Termination
"We may terminate or suspend your access immediately, without prior notice, for any reason whatsoever, including without limitation if you breach the Terms."
